BATNER APP TERMS AND CONDITIONS (T&C)

I. Introductory Provisions

1.1. Operator: The Batner mobile app and platform (the "Platform") is operated by the business identified in the "Operator Details" section at the end of these terms (the "Operator").

1.2. Role of the Operator: The Batner Platform acts solely as a digital advertising space and technology intermediary. The Operator is not a party to purchase contracts between users (the Buyer and the Seller). It does not sell, buy, own, store or physically inspect any goods or services.

1.3. Full disclaimer of liability for transactions: All agreements, transactions and communications take place solely between users, at their own risk and responsibility. The Operator bears no legal or financial liability for defective goods, non-delivery, fraudulent conduct by users, or any disputes arising from completed or uncompleted transactions.

II. Listing and Payment Methods

2.1. Standard listings (off-platform): If users agree on payment and handover outside the Platform (cash, in-person handover, cash on delivery), the Operator does not intervene in this relationship in any way, does not monitor its course and is not responsible for its outcome.

2.2. "Buy now" feature (Stripe Connect):

• When secure online payments are used, the technical processing of the transaction is handled exclusively by Stripe Payments Europe, Ltd.
• The user receiving the payment enters into a direct contractual relationship with Stripe. The Operator does not hold users' funds in its own bank accounts.
• For the use of its technology infrastructure and for facilitating the transaction, the Operator charges a service fee (commission), calculated only on the price of the goods in the order, not on shipping: 10% for orders with goods under $5 and 7% for orders with goods of $5 or more. The current commission rate is always shown on the "Commission and Fees" page, and the rate in effect at the time of the order applies.
• The card payment processing fee is charged directly by Stripe according to its current pricing and is paid by the Seller; it is not part of the Operator's commission.
• The Seller is directly responsible for resolving any payment disputes (e.g. chargebacks) or refunds, both towards Stripe and towards the Buyer.

III. Content Rights and Licence (Videos, Photos, Audio)

3.1. Content licence: By uploading any content to the Platform (in particular videos, photos, listing descriptions and audio recordings), the user grants the Operator a non-exclusive, royalty-free, perpetual and worldwide licence to use that content.

3.2. Marketing use: The Operator may edit, shorten, reproduce and publicly distribute this content (both videos and photos) by any means, in particular for the purpose of operating, improving and marketing the Batner platform (e.g. in advertising campaigns on social media, in promotional videos, on the App Store / Google Play or on websites).

3.3. User responsibility: The user hereby declares that they own all necessary copyrights to the uploaded content and that its publication and subsequent marketing use by the Operator will not infringe the rights of third parties (including the personality rights of people shown in photos or videos).

IV. Selling Digital Services and Courses

4.1. No automated digital content: Due to the rules of distribution platforms (Apple App Store, Google Play), the Platform does not support automatic downloading or playback of digital content being sold (e-books, videos) directly in the app.

4.2. Delivering services: If a user sells access to a course or digital materials, they must deliver them to the Buyer manually (e.g. by sending a link to external storage, or by sending a file or login details via chat). The Operator is not responsible for the functionality of external links or for the quality and content of the delivered materials.

V. Prohibited Content and Conduct

5.1. Prohibited items: It is strictly prohibited to offer:

• Weapons, illegal drugs, prescription and over-the-counter medicines.
• Animals protected under CITES without valid documentation. Animal listings must always include a real photo.
• Sex toys, adult services and pornography.
• Stolen goods or counterfeits of protected brands.
• Any goods or services whose sale violates EU or US law.

VI. Taxes, Legal Obligations and Cooperation with the Police

6.1. Tax responsibility: Each user is solely and fully responsible for declaring and paying taxes (income tax, VAT) on sales made through the Platform.

6.2. DAC7 Directive: The Operator is legally required to record and report to the relevant tax authorities users who use the online payment feature ("Buy now") and exceed the statutory thresholds (e.g. 30 sales or EUR 2,000 per calendar year). For this purpose, the Platform uses automated tools provided by Stripe.

6.3. Cooperation with law enforcement: The Operator fully cooperates with law enforcement authorities (Police of the Czech Republic, courts, etc.). In cases of suspected fraudulent or illegal conduct, the Operator will, at the request of public authorities, provide IP addresses, phone numbers, location data, chat history and transaction history in accordance with applicable law. This provision does not make the Operator a guarantor or investigator.

VII. Technical Operation and Final Provisions

7.1. Service outages: The Operator strives to keep the Platform available as much as possible but does not guarantee uninterrupted operation. The Operator is not liable for lost profits or damage caused by server outages, scheduled maintenance or software bugs.

7.2. Governing law: These terms and all relationships arising from them are governed by the laws of the Czech Republic. All legal disputes will be resolved by the competent courts of the Czech Republic.

7.3. Changes to the terms: The Operator reserves the right to change these terms at any time. Users will be informed of changes within the app (e.g. via a notification or when logging in). By continuing to use the Platform, the user agrees to the new terms.
